Dragon Capital Appointed as Financial Advisor to Allseeds Group Minority Shareholders

Cross Trade & Commodity Finance, a company owning approximately 6% in Allseeds Group, have appointed Dragon Capital as financial advisor to represent it in the negotiations for sale of its stake to the majority shareholder.

Kyiv, May 28, 2010 – Cross Trade & Commodity Finance, a company owning approximately 6% in Allseeds Group, one of the largest producers and exporters of vegetable oil in Ukraine, have appointed Dragon Capital as financial advisor and Allen & Overy LLP as its legal advisor to represent it in the negotiations for sale of its stake to the majority shareholder and to assist the company in protecting its rights as minority shareholder in light of the plans of the majority shareholder to restructure Allseeds Group and its subsidiaries, including, but not limited to, the Ukrainian operations.

In January 2010, Kernel Holding S.A. entered into a call option agreement to acquire a 56.4% controlling interest in Allseeds. Dragon Capital acted as financial advisor to minority shareholders Viacheslav Petryshche and Cornelius Vrins in a sale of their 37.6% stake in Allseeds to Kernell Holding S.A. which was completed in February 2010.
